Terms and Conditions
These Terms and Conditions apply to the Orbit Elements website, pre-request form, future account access, dashboard tools, and music distribution services for artists, labels, managers, creators, and rights holders.
1. Acceptance Of Terms
By accessing orbitelements.com, submitting a pre-request, creating or using an account, uploading catalog materials, accepting dashboard access, or using any Orbit Elements service, you agree to these Terms and Conditions and the Privacy Policy. If you do not agree, you must not use the site, platform, forms, dashboard, or services.
If you use Orbit Elements on behalf of an artist, band, label, publisher, manager, company, catalog owner, estate, rights holder, or other entity, you represent that you have authority to bind that person or entity and to submit content, metadata, payment instructions, and distribution instructions on their behalf.
2. Legal Identity
Orbit Elements is operated primarily by L'Una Music Group LLC, 750 Piedmont Ave NE, Atlanta, GA 30308, United States, through the Luna X Studios ecosystem. L'Una Studios LTDA is the Brazil branch at Rua RI 12 QD 43 LT 07 CS 02, Residencial Itaipu, Goiania, Goias, Brazil. Orbit Elements may also maintain international desks in Luxembourg and Dubai for business development, partner coordination, and regional operations. Unless a separate written agreement identifies another contracting entity, L'Una Music Group LLC is the main contracting identity for Orbit Elements.
3. Definitions
- Account means a user, artist, label, manager, business, or partner profile used to access Orbit Elements tools.
- Content means sound recordings, compositions, phonograms, videos, artwork, logos, photographs, lyrics, credits, metadata, marketing materials, and related files submitted to Orbit Elements.
- Customer means any listener, buyer, subscriber, viewer, or end consumer using a Digital Music Service.
- Digital Distribution means transfer, delivery, exploitation, monetization, or availability of Content through internet, mobile, wireless, satellite, streaming, download, video, radio, social, recognition, or future digital systems.
- DMS or DSP means any digital music service, digital service provider, download portal, streaming service, mobile platform, social platform, video service, music recognition service, or similar outlet.
- End User, User, you, or your means the artist, label, manager, producer, agent, royalty recipient, rights holder, or authorized representative using Orbit Elements.
- Platform means orbitelements.com, app.orbitelements.com, any designated subdomain, dashboard, API, form, or related digital tool.
- Services means distribution, release preparation, DSP delivery, download delivery, video monetization, music recognition, fingerprinting, MCN support, analytics, reports, support, royalty processing, artist splits, and related services.
4. Eligibility And Account Access
You must be at least 18 years old or the age of majority in your jurisdiction to create an account or use paid, dashboard, or distribution services. Users under 18 but at least 13 may use Orbit Elements only with consent and active supervision of a parent, legal guardian, label, or authorized representative. Users under 13 may not use the platform.
You must provide accurate, current, and complete information during registration, pre-request submission, verification, onboarding, payout setup, tax review, and catalog review. Orbit Elements may require email verification, identity verification, rights verification, tax documentation, business documentation, or payment verification before enabling account access, release delivery, monetization, or payouts.
5. Account Security
You are responsible for maintaining the confidentiality of your username, password, two-factor authentication codes, recovery methods, API credentials, and any person you authorize to access your account. You are responsible for all uploads, takedowns, payment instructions, metadata changes, split instructions, support requests, and other activity made through your account.
You must notify Orbit Elements immediately at [email protected] if you believe an account, email address, payout method, dashboard, or linked third-party account has been compromised. Orbit Elements may suspend access, require verification, reset credentials, revoke sessions, or restrict payouts where needed to protect the account or service.
6. Services And Availability
Orbit Elements may provide digital music distribution, release preparation, DSP delivery, download store delivery, video monetization, music recognition, fingerprinting, royalty reporting, artist splits, MCN support, catalog support, analytics, takedown support, and related administrative services. Some features may be offered directly, through Luna X Studios affiliates, or through third-party technology, DSP, payment, recognition, analytics, and rights-management partners.
Services may be updated, delayed, suspended, limited, discontinued, or made available only to eligible users, territories, catalog types, or account types. The availability of a store, DSP, feature, royalty report, content recognition service, payment method, or marketing opportunity is not guaranteed.
7. License To Use The Platform
Orbit Elements grants you a limited, revocable, non-exclusive, non-transferable right to access and use the site, platform, dashboard, and services for your own professional music business or authorized internal business purposes. You may not sell, rent, lease, sublicense, resell, scrape, reverse engineer, disrupt, overload, bypass security, harvest data, or use the platform for unauthorized commercial exploitation.
8. Content Ownership And Distribution License
You retain ownership of your sound recordings, artwork, metadata, videos, lyrics, trademarks, and other materials you submit, subject to any separate agreement you sign. You grant Orbit Elements and its service partners the non-exclusive, worldwide rights needed to host, review, format, encode, reproduce, distribute, display, perform, promote, monetize, report on, administer, remove, and otherwise process your submitted content for the requested services.
This license includes the right to deliver Content to DSPs, encode files, generate previews, attach or correct metadata, use artwork and artist information for distribution and promotion, make Content available through streaming and downloads, support recognition and fingerprinting, administer video monetization, process reports, and remove or disable Content when required.
The license continues for as long as Content is distributed, monetized, stored, reported, disputed, or required for legal, royalty, reporting, takedown, audit, tax, security, or rights-management purposes. DSPs may retain rights to process delivered Content under their own terms even after you request removal.
9. Rights Warranties
You confirm that:
- You own or control all rights needed for every recording, composition, sample, beat, artwork, video, name, brand, contributor, and metadata item you submit.
- Your content does not infringe copyright, trademark, publicity, privacy, moral, contractual, or neighboring rights.
- You have cleared samples, interpolations, beats, remixes, cover songs, featured artists, producers, performers, and artwork where required.
- You have authority to set royalty splits, manage the catalog, request takedowns, and receive or direct payouts.
- Your Content is free and clear of claims, liens, exclusive distribution conflicts, label restrictions, publishing restrictions, or third-party encumbrances that would prevent Orbit Elements from providing the Services.
- You will notify Orbit Elements immediately if rights expire, are transferred, become disputed, or are no longer available for digital exploitation.
10. Materials And Delivery Requirements
You must provide all technical, graphic, artistic, legal, and metadata materials needed for distribution at your own cost unless Orbit Elements separately agrees to provide production or preparation services. Required materials may include master audio files, artwork, UPC and ISRC codes, release titles, track titles, versions, artist names, performer credits, author and composer credits, publisher data, copyright lines, label names, genre, release date, territories, explicit-content status, lyrics, biographies, photo credits, and promotional assets.
Audio, artwork, and metadata must meet current DSP specifications. Orbit Elements may request replacement files, corrections, higher-resolution artwork, proof of rights, tax forms, split confirmations, or additional documentation before delivery. If Orbit Elements produces, converts, corrects, manufactures, or prepares materials for you, any approved costs may be charged or deducted according to the invoice, plan, or separate agreement.
11. Content Standards
Orbit Elements may reject, delay, suspend, remove, or request correction of content that appears fraudulent, misleading, low quality, infringing, artificially streamed, abusive, hateful, illegal, miscategorized, technically defective, incorrectly credited, or inconsistent with DSP rules. You are responsible for accurate artist names, titles, credits, explicit-content flags, territories, artwork, genre, release dates, rights ownership, and all other metadata.
Prohibited Content includes unauthorized samples, uncleared beats, misleading artist names, impersonation, fake collaborations, unauthorized cover artwork, copyrighted logos without permission, illegal material, malware, hate speech, harassment, deceptive public-domain claims, public-domain reuploads without value, AI or synthetic content that violates platform disclosure rules, and any Content that creates legal, platform, payment, or reputational risk.
12. DSP Rules And Availability
DSPs, download stores, social platforms, recognition providers, and monetization platforms operate under their own rules. Orbit Elements may deliver content to selected partners, but no placement, approval, processing time, stream count, playlisting, monetization result, territory availability, editorial support, or continued store availability is guaranteed.
You authorize Orbit Elements to select, add, remove, replace, or update DSP partners and distribution channels according to service availability, territory, eligibility, content type, platform rules, catalog status, and risk controls. DSPs may reject, hide, demonetize, fingerprint, block, mute, downgrade, remove, or delay Content under their own policies.
13. Royalties, Reports, Splits, And Payments
Royalty reports and payouts depend on reports and payments received from DSPs and other partners. Statements may be adjusted for refunds, reserves, chargebacks, currency conversion, taxes, fees, minimum payout thresholds, fraud claims, DSP corrections, and retroactive changes. Artist splits are administrative instructions only and do not resolve ownership disputes between collaborators.
Dashboard reports may include gross revenue, net revenue, content remuneration, proportional consumption by phonogram, ISRC, title, artist, territory, DSP, billing period, and remuneration value where such information is provided by partners. Reports are based on third-party data and may be delayed, corrected, incomplete, estimated, or updated retroactively.
Unless a different schedule is stated in a plan, dashboard, invoice, or signed agreement, royalties may be accounted for quarterly and paid after Orbit Elements has received the corresponding funds from DSPs or partners. A minimum payout threshold may apply, and unpaid balances may roll forward until the threshold is reached. Historical Orbit agreement terms referenced a USD 250 minimum payment threshold; any current threshold will be shown in the dashboard, plan, invoice, or agreement.
14. Fees, Taxes, And Chargebacks
Fees, commissions, subscriptions, add-ons, withholding taxes, bank fees, payout charges, or other deductions may apply according to the plan, quotation, invoice, dashboard, or separate agreement. You are responsible for providing accurate tax, billing, identity, and payment information and for complying with applicable tax and reporting obligations.
Payments to Orbit Elements may be non-refundable unless required by law or expressly stated otherwise. Orbit Elements may deduct approved service fees, payment processing fees, transfer fees, bank charges, currency conversion costs, taxes, reserves, overpayments, negative balances, DSP deductions, refunds, chargebacks, claims, and collection costs from amounts otherwise payable to you.
15. Audit And Royalty Disputes
If you believe a royalty report is inaccurate, you must notify Orbit Elements in writing within 60 days after the report is made available, identifying the specific period, release, DSP, ISRC, UPC, amount, and reason for dispute. Orbit Elements may investigate with the relevant DSP or partner, but cannot guarantee correction where the partner data is final or unavailable.
Where a signed agreement allows an audit, an audit may be performed no more than once per year by a qualified professional auditor, with at least 30 days' prior written notice, during normal business hours, and limited to records directly relevant to the disputed accounting period. The auditor must keep all reviewed information confidential.
16. Fraud, Artificial Activity, And Claims
You may not use bots, stream farms, incentivized manipulation, fake engagement, unauthorized ads, deceptive metadata, impersonation, stolen content, or any practice that violates DSP trust and safety rules. Orbit Elements may pause payouts, place reserves, remove releases, disable account access, or provide information to partners when fraud, rights conflicts, or platform abuse is suspected.
Fraud or suspicious activity may result in delayed reporting, withheld royalties, negative adjustments, permanent removal, loss of DSP access, account termination, disclosure to affected partners, and responsibility for investigation costs, claims, reversals, or penalties.
17. Takedowns And Catalog Changes
You may request takedowns, corrections, territory changes, split changes, or metadata updates through available support channels. Timing depends on technical processing and each partner platform. Orbit Elements may also remove or block content to comply with law, rights claims, DSP instructions, these Terms, or risk controls.
If you lose the right to exploit Content, you must notify Orbit Elements in writing as soon as possible and, where feasible, at least five business days before the requested withdrawal date. Orbit Elements will submit takedown or correction instructions to relevant partners, but each DSP controls its own removal timing.
18. Promotion, Marketing, And Name Use
Orbit Elements and its partners may use your artist name, label name, trademarks, likeness, biography, artwork, release information, excerpts, previews, and Content performance data to provide, promote, pitch, report, and market the Services and your releases. Promotional actions may be coordinated with you where required, but no playlist, editorial feature, campaign result, audience growth, or revenue result is guaranteed.
19. Third-Party Services
Distribution may involve third-party DSPs, recognition services, social platforms, payment processors, hosting providers, analytics providers, and support tools. Orbit Elements is not responsible for third-party outages, policy changes, removals, reporting delays, account actions, or independent privacy and legal practices.
20. Confidentiality
Non-public business terms, financial information, unreleased recordings, release plans, dashboard data, royalty statements, technical systems, credentials, private messages, trade secrets, and materials reasonably understood to be confidential must be protected and used only for the purpose of performing or receiving the Services. Confidential information may be shared with employees, contractors, DSPs, advisors, payment providers, legal authorities, or service partners only when necessary and subject to appropriate obligations or legal requirements.
21. Privacy And Data Protection
Orbit Elements processes personal information, catalog data, account data, payout data, royalty data, support data, and technical data according to the Privacy Policy. You must have permission to provide personal information about contributors, collaborators, payees, representatives, or other third parties. The Services may require processing through the United States, Brazil, Luxembourg, Dubai, the European Economic Area, and other regions where DSPs, partners, affiliates, or service providers operate.
22. Suspension And Termination
Orbit Elements may suspend or terminate site access, account access, release delivery, monetization, reporting access, or support where needed to protect the service, comply with law, respond to claims, prevent fraud, enforce these Terms, or follow partner requirements. Certain records may be retained after termination for royalty, tax, legal, security, audit, and rights-management purposes.
Unless a separate signed agreement states otherwise, either party may end an ongoing distribution relationship with 30 days' written notice. Termination does not cancel unpaid fees, existing partner obligations, claims, reserves, audit rights, confidentiality duties, indemnity obligations, royalty adjustments, or any rights that by nature must survive termination.
23. Indemnification
You agree to defend, indemnify, and hold harmless Orbit Elements, L'Una Music Group LLC, Luna Studios, Luna X Studios affiliates, contractors, officers, directors, employees, licensors, providers, and partners from claims, damages, losses, liabilities, costs, penalties, and expenses arising from your Content, account activity, rights disputes, unpaid contributor claims, metadata errors, fraud, breach of these Terms, violation of law, tax obligations, payment instructions, or infringement of third-party rights.
24. Disclaimers And Limitation
The site and services are provided on an as-is and as-available basis. Orbit Elements does not guarantee uninterrupted service, error-free reporting, specific revenue, audience growth, playlist placement, DSP approval, search ranking, account access availability, or compatibility with every platform. To the fullest extent allowed by law, Orbit Elements is not liable for indirect, incidental, consequential, special, punitive, lost-profit, lost-data, lost-opportunity, or platform-action damages.
Orbit Elements does not control DSP royalty rates, partner policies, consumer behavior, algorithmic recommendations, editorial decisions, fraud determinations, market conditions, currency fluctuations, tax rules, social-platform monetization decisions, or third-party reporting delays.
25. General Provisions
These Terms do not create an employment, partnership, joint venture, agency, franchise, or fiduciary relationship except where a separate signed agreement expressly states otherwise. You may not assign or transfer your account, rights, or obligations without written approval. Orbit Elements may assign or transfer these Terms as part of a merger, restructuring, sale, affiliate transfer, or service-provider transition.
If any provision is unenforceable, the remaining provisions continue in effect. Failure to enforce a provision is not a waiver. Notices may be delivered by email, dashboard, website notice, or other reasonable channel.
26. Governing Law And Updates
These Terms are governed by the laws applicable to L'Una Music Group LLC and its operations, unless a separate signed agreement states otherwise. Orbit Elements may update these Terms as the service launches, features change, laws change, or partner requirements evolve. Continued use after changes means you accept the updated Terms.
Unless a separate signed agreement states otherwise, operations and transactions administered by L'Una Music Group LLC may be governed by the laws of the State of Georgia, United States, with venue in Fulton County, Georgia. Operations and transactions expressly administered by L'Una Studios LTDA may be governed by the laws of Brazil, with venue in Goiania, Goias. Luxembourg and Dubai desks provide business development, coordination, and regional support unless a written agreement states that a local entity is the contracting party.
